Terms of Sale

PREAMBLE
These Terms of Sale (hereinafter "the Terms of Sale") govern the contractual relationship between SARL DAMONI, a French limited liability company with a share capital of 1,000 euros, registered with the RCS of Limoges under number 982 444 580, with its registered office at 3 chemin de la Font — 87510 Saint-Jouvent — France, EU VAT number FR 04982444580 (hereinafter "izyPet" or "the Provider"), and any Professional subscribing to a subscription on the izyPet Platform (hereinafter "the Professional" or "the Client").
These Terms of Sale supplement the Terms of Use, which remain applicable. In the event of a conflict, these Terms of Sale shall prevail over the Terms of Use with respect to subscription and payment provisions.
Article 1 — Definitions
Terms defined in the Terms of Use retain the same meaning in these Terms of Sale. In addition:

"Subscription": a contract whereby the Professional subscribes, in exchange for payment, to access the features of the izyPet Platform.

"Trial Period": a free period granted to the Professional upon initial registration.

"Billing Period": the monthly or annual period, depending on the plan chosen, for which the Professional is billed.
Article 2 — Purpose
These Terms of Sale define the conditions for subscribing, paying for, renewing, and terminating the Subscription to the izyPet Platform by Professionals.
The Subscription provides access to all Platform features described in the Terms of Use, subject to any limitations that may apply during the Trial Period.
Article 3 — Trial Period
3.1 Duration and conditions
Every new Professional receives a free two (2) month trial period from the date their Account is created.
During the Trial Period, the Professional has access to all Platform features with no financial commitment.
3.2 End of the Trial Period
Upon expiry of the Trial Period:
- If the Professional has subscribed to a paid Subscription before the end of the Trial Period, the service continues without interruption;
- If the Professional has not subscribed, access to Platform features is restricted. The Professional's data is retained in accordance with our Privacy Policy.
3.3 Reminders
Reminder emails are sent to the Professional before the Trial Period expires (7 days and 3 days before the deadline) to inform them of subscription options.
Article 4 — Pricing
4.1 Applicable prices
Subscription prices are available at any time on the Platform's pricing page: https://www.izypet.co/pricing.
The prices applicable to the Professional are those displayed at the time of Subscription, as confirmed during the payment process via Stripe. The applicable currency is determined based on the Professional's location.
Prices are shown exclusive of tax. VAT and other applicable taxes will be added in accordance with the legislation in force in the Professional's country.
izyPet may offer preferential rates, promotions, or special conditions to certain Professionals, particularly through partnerships, launch offers, or loyalty programs. Such conditions are subject to a separate agreement that takes precedence over listed prices.
4.2 Price changes
izyPet reserves the right to change its prices at any time. Any price change will be communicated to the Professional at least thirty (30) days before it takes effect, by email.
New prices apply from the next renewal following the notification. If the Professional does not accept the new prices, they may terminate their Subscription in accordance with Article 7 of these Terms of Sale before the renewal date.
Article 5 — Payment Terms
5.1 Payment provider
Subscription payment is processed by Stripe Payments Europe, Limited (Dublin, Ireland), a PCI-DSS certified payment provider. The Professional's payment details are collected and processed directly by Stripe; izyPet does not have access to credit card numbers.
5.2 Accepted payment methods
Payment is made by credit card (Visa, Mastercard, and other methods accepted by Stripe) through Stripe's secure payment interface.
5.3 Billing
The Subscription is billed:
- Monthly: at the beginning of each monthly period;
- Annually: in a single payment at the beginning of the annual period.
izyPet issues an invoice for each payment processed through its payment provider. Invoices are accessible from the subscription management portal.
5.4 Payment failure
In the event of a failed charge (expired card, insufficient funds, bank block), Stripe automatically retries the charge in accordance with its procedures. If the payment fails permanently, izyPet reserves the right to suspend access to Platform features until payment is regularized.
Article 6 — Renewal
6.1 Automatic renewal
The Subscription is automatically renewed at the end of each Billing Period (monthly or annual), unless terminated by the Professional in accordance with Article 7.
6.2 Plan change
The Professional may switch from a monthly to an annual Subscription, or vice versa, at any time from their management dashboard. The change takes effect at the next Billing Period.
Article 7 — Termination
7.1 Termination by the Professional
The Professional may terminate their Subscription at any time, without fees or penalties, from their management dashboard on the Platform or by contacting izyPet at contact@izypet.co.
Termination takes effect at the end of the current Billing Period. The Professional retains access to all features until that date.
No refund is given for the remaining period, whether the Subscription is monthly or annual, unless otherwise required by applicable law.
7.2 Termination by izyPet
izyPet reserves the right to terminate a Professional's Subscription in the event of:
- Breach of the Terms of Use or these Terms of Sale;
- Fraudulent use of the Platform;
- Persistent payment failure after reminders.
In the event of termination due to a fault attributable to the Professional, no refund will be issued.
In the event of termination for a reason attributable to izyPet (e.g., discontinuation of the service), izyPet will issue a pro-rata refund for the unused portion of the Subscription period.
7.3 Consequences of termination
Following termination:
- Access to management features (bookings, contracts, invoices) is restricted;
- The Professional's business is removed from search results;
- Data is retained in accordance with the retention periods set out in the Privacy Policy and applicable legal obligations.
The Professional may request an export of their data before the effective termination date by contacting izyPet.
Article 8 — Right of Withdrawal
8.1 Professionals acting in a professional capacity
In accordance with Article L.221-3 of the French Consumer Code (Code de la consommation), the right of withdrawal does not apply to contracts entered into between professionals, except where the professional employs five or fewer employees and the contract does not fall within the scope of their main business activity.
8.2 Professionals treated as consumers
Professionals meeting the conditions of Article L.221-3 of the French Consumer Code (employing five or fewer employees, contract outside the scope of their main business) benefit from a right of withdrawal of fourteen (14) days from the date of Subscription.
To exercise this right, the Professional must notify their decision by email to contact@izypet.co or by mail to the registered office of izyPet.
In the event of withdrawal, izyPet will issue a full refund of amounts paid within fourteen (14) days of receiving the request.
However, if the Professional has expressly requested that the service begin during the withdrawal period (which is the case when they actively use the Platform after subscribing), they remain liable for an amount proportional to the service provided up to the notification of withdrawal, in accordance with Article L.221-25 of the French Consumer Code.
Article 9 — Warranty and Service Level
9.1 Availability
izyPet commits to using reasonable efforts to ensure high availability of the Platform, excluding scheduled maintenance periods and force majeure events.
Scheduled maintenance will be communicated in advance whenever possible.
9.2 Support
Technical support is available by email at contact@izypet.co and through the in-Platform chat (Crisp). izyPet endeavors to respond to support requests within a reasonable timeframe.
9.3 Data backup
izyPet implements regular data backup measures. However, the Professional is encouraged to make their own backups of critical data (export of contracts, invoices, etc.).
Article 10 — Liability
10.1 Limitation of liability
izyPet's liability is strictly limited to the conditions set out in Article 16 of the Terms of Use.
In any event, izyPet's total liability under these Terms of Sale shall not exceed the total amounts paid by the Professional during the twelve (12) months preceding the event giving rise to the claim.
10.2 Exclusions
izyPet shall not be held liable for:
- Consequences of inappropriate use of the Platform by the Professional;
- Data loss resulting from events not attributable to izyPet;
- Disputes between the Professional and their Clients;
- The Professional's failure to comply with their legal or regulatory obligations.
Article 11 — Personal Data
The processing of the Professional's personal data in connection with the Subscription is carried out in accordance with our Privacy Policy.
Payment information is processed by Stripe and subject to Stripe's privacy policy (https://stripe.com/privacy).
Article 12 — Miscellaneous Provisions
12.1 Entire agreement
These Terms of Sale, together with the Terms of Use, the Privacy Policy, the Cookie Policy, and the DPA, constitute the entire agreement between izyPet and the Professional regarding use of the Platform.
12.2 Amendments
izyPet reserves the right to amend these Terms of Sale at any time. The date of the last update is indicated at the top of the document. Non-material changes (typographical corrections, contact information updates, etc.) take effect upon publication.
In the event of a material change affecting pricing, termination terms, or service levels, izyPet will notify the Professional by email at least thirty (30) days in advance. Material changes will require express acceptance by the Professional. If the Professional does not accept within thirty (30) days, they may terminate their Subscription at no cost in accordance with Article 7.
12.3 Assignment
izyPet may assign or transfer these Terms of Sale to a third party, particularly in the event of a merger, acquisition, or asset sale, subject to notifying the Professional.
The Professional may not assign their rights and obligations under these Terms of Sale without the prior written consent of izyPet.
12.4 Severability
If any provision of these Terms of Sale is declared null or unenforceable, the remaining provisions shall continue in full force and effect.
Article 13 — Governing Law and Jurisdiction
13.1 Governing law
These Terms of Sale are governed by French law.
13.2 Dispute resolution
In the event of a dispute relating to the interpretation, performance, or termination of these Terms of Sale, the parties agree to seek an amicable resolution for a period of thirty (30) days from the notification of the dispute by either party.
In the absence of an amicable resolution, the competent courts of Limoges (France) shall have exclusive jurisdiction.
